Appointed: September 23, 2013

  1. This Notice is filed under subsection 210(4) and subsection 218(2) of the Business Corporations Act (Ontario).
  2. On September 11, 2013, the shareholders of Diversinet Corp. passed a special resolution approving the voluntary winding up of the corporation and a plan of liquidation and distribution (the “Liquidation Plan”).
  3. On September 16, 2013, the directors of Diversinet Corp. passed a resolution appointing Duff & Phelps Canada Restructuring Inc. (“D&P”) as the liquidator pursuant to the Liquidation Plan, which resolution became effective on September 23, 2013.
  4. In October 2013, D&P made an application to the Ontario Superior Court of Justice (Commercial List) (the “Court”) to have the winding up proceedings continued under the supervision of the Court and an order was issued by the Honourable Mr. Justice Morawetz on October 18, 2013 that, among other things, approved the Liquidation Plan and the appointment of D&P thereunder.
  5. On January 27, 2015, an order was issued by the Honourable Mr. Justice Wilton-Siegel dissolving Diversinet Corp. effective January 27, 2015 and discharging D&P as liquidator effective upon the filing of a certificate by the liquidator certifying that all matters to be attended to in connection with the winding up of Diversinet Corp. have been completed to the satisfaction of the liquidator.
