Member’s Resolution To Voluntarily Dissolve The Corporation

Take Notice that the members of the not-for-profit corporation Canadian Association of Family Enterprise – Upper Canada (Corporation Number 996244), in a meeting duly called for the purpose and held on the 28th day of April, 2015, unanimously passed a special resolution requiring said Corporation to be wound up voluntarily pursuant to the provisions of the Corporations Act and appointed Allen S. Taylor of Burlington, Ontario, as liquidator for the purpose of winding up the corporation’s affairs and distributing its property.

Meridian Credit Union Limited

Take Notice of the intention of Meridian Credit Union Limited (the “Credit Union”) to apply to the Superintendent for approval of a special resolution duly passed by the members of the Credit Union at a duly convened meeting of members held on April 21, 2015, concerning a proposal to reduce the stated capital account of the Credit Union for its membership shares. This notice is filed under subsection 72(4) of the Credit Unions and Caisses Populaires Act, 1994 (Ontario), as amended.

A true copy of the special resolution is set out below:

“Now therefore be it resolved as a special resolution of the members of Meridian Credit Union Limited that:

  1. the stated capital account for the Membership Shares issued by Meridian Credit Union Limited be reduced by reducing the base share redemption price of each share from $5.00 to $1.00, in accordance with the provisions of section 72 of the Credit Unions and Caisses Popularies Act, 1994 (Ontario), as amended (the “Act”);
  2. the Credit Union is authorized and directed under the Act to apply to the Superintendent of Financial Services (the “Superintendent”) for approval of the special resolution set out in paragraph (a) above; and
  3. the special resolution set out in paragraph (a) above shall have no effect unless and until it is approved in writing by the Superintendent.”
