Government Notices Respecting Corporations
Notice of Default in Complying with the Corporations Tax Act
The Director has been notified by the Minister of Finance that the following corporations are in default in complying with the Corporations Tax Act.
Notice Is Hereby Given under subsection 241(1) of the Business Corporations Act, that unless the corporations listed hereunder comply with the requirements of the Corporations Tax Act within 90 days of this notice, orders will be made dissolving the defaulting corporations. All enquiries concerning this notice are to be directed to Ministry of Finance, Corporations Tax, 33 King Street West, Oshawa, Ontario L1H 8H6.

On December 8, 2015, the following amendments (Amendments) came into force under the Securities Act:
- amendments to
- National Instrument 45-106 Prospectus Exemptions (NI 45-106),
- National Instrument 41-101 General Prospectus Requirements (NI 41-101),
- National Instrument 44-101 Short Form Prospectus Distributions (NI 44-101),
- National Instrument 45-102 Resale of Securities (NI 45-102),
- the repeal of National Instrument 45-101 Rights Offerings (NI 45-101), and
- consequential amendments to certain other instruments.
The Ontario Securities Commission also made changes to Companion Policy 45-106Cp to NI 45-106 and Companion Policy 41-101Cp to NI 41-101 and withdrew Companion Policy 45-101Cp to NI 45-101.
NI 45-106 consolidates and harmonizes most requirements and exemptions related to exempt distributions. NI 41-101 provides a comprehensive set of prospectus requirements for certain issuers intending to file a prospectus. NI 44-101 sets out requirements for an issuer intending to file a prospectus in the form of a short form prospectus. NI 45-102 imposes restrictions on the resale of securities distributed under certain exemptions.
NI 45-101 prescribed conditions for distribution of rights to acquire, by way of a rights offering, additional securities of an issuer’s own issue to existing security holders. The Amendments update and move the requirements for reporting issuers to other instruments.
The Amendments:
- create a streamlined prospectus exemption for reporting issuers that are not investment funds subject to National Instrument 81-102 Investment Funds which contemplates:
- the removal of regulatory review prior to the use of the rights offering circular,
- the introduction of a new form of notice and a simplified rights offering circular,
- a dilution limit of 100% instead of the current limit of 25%,
- the addition of statutory secondary market civil liability, and
- remove the ability of non-reporting issuers to use the rights offering circular.

And Whereas subsection 5(1) of the Executive Council Act provides that any of the powers and duties that have been assigned by law to any minister of the Crown may from time to time by order in council be assigned and transferred for a limited period or otherwise to any other minister by name or otherwise;
And Whereas subsection 8(1) of the Executive Council Act provides that the authority of the Lieutenant Governor under this Act to prescribe duties of a minister of the Crown or to assign and transfer powers and duties that have been assigned by law to a minister of the Crown to any other minister includes authority, by order in council, to assign a power, duty, function or responsibility of a minister of the Crown under an Act to a minister of the Crown;
And Whereas responsibility for the administration of the Electronic Cigarettes Act, 2015, S.O. 2015, c.7, Sched. 3 and the Healthy Menu Choices Act, 2015, S.O. 2015, c.7, Sched. 1, was assigned to the Associate Minister of Health and Long-Term Care (Long-Term Care and Wellness) by Order in Council O.C. 1490/2015 dated October 28, 2015; and
And Whereas subsection 3(3) of the Ministry of Health and Long-Term Care Act authorizes the Minister of Health and Long-Term Care to delegate, in writing, any of his or her powers or duties under that Act or any other Act or otherwise at law to certain persons and may impose conditions and restrictions with respect to the delegation.
Therefore, pursuant to subsections 2(2), 5(1) and 8(1) of the Executive Council Act, despite any provision of a statute or Order in Council, the Associate Minister of Health and Long-Term Care (Long-Term Care and Wellness) may exercise the power of the Minister of Health and Long-Term Care under subsection 3(3) of the Ministry of Health and Long-Term Care Act in respect of exercising the powers and performing the duties, functions and responsibilities under the Electronic Cigarettes Act, 2015 and the Healthy Menu Choices Act, 2015.
