Amendment To National Instrument 45-106 Prospectus Exemptions
An amendment to National Instrument 45-106 Prospectus Exemptions (the amendment), for Ontario purposes only, came into force under the Securities Act on July 29, 2016.
NI 45-106 consolidates and harmonizes most requirements and exemptions related to exempt distributions.
The amendment amends Form 45-106F1 Report of Exempt Distribution to provide an exemption for certain foreign issuers from the requirement to identify whether a purchaser is a registrant or an insider of the issuer. As noted in CSA Staff Notice 45-320 Exemptions for Certain Foreign Issuers from the Requirement to Identify Purchasers as Registrants or Insiders in Reports of Exempt Distribution, the securities regulatory authorities in other CSA jurisdictions have issued blanket orders to address the subject matter of the amendment. Refer to CSA Staff Notice 45-320 for further information.

Foreign Cultural Objects Immunity from Seizure Act Determination
Pursuant to delegated authority and in accordance with subsection 1(1) of the Foreign Cultural Objects Immunity from Seizure Act, R.S.O. 1990, c.F-23, the work of art or object of cultural significance listed in Schedule “A” attached hereto, which work or object is to be on temporary exhibit during the Mystical Landscapes: Masterpieces from Monet, Van Gogh and more exhibition at the Art Gallery of Ontario in Toronto, Ontario pursuant to a loan agreement between the Art Gallery of Ontario and the lender listed in the attached Schedule “A”, is hereby determined to be of cultural significance and the temporary exhibition of this work or object in Ontario is in the interest of the people of Ontario.
