Ontario Securities Commission Amendments to Ontario Securities Commission Rule 48-501 Trading During Distributions, Formal Bids and Share Exchange Transactions
On May 18, 2021, amendments to Ontario Securities Commission Rule 48-501 Trading During Distributions, Formal Bids and Share Exchange Transactions (Rule 48-501) came into force. In connection with the amendments, the Ontario Securities Commission also adopted changes to Companion Policy 48-501CP, which also came into force on May 18, 2021 (together, the Amendments).
Rule 48-501 was amended to remove restrictions on dealers involved in distributions, formal bids, and share exchange transactions, and to also remove restrictions on insiders and associated entities (collectively, Insiders) of issuers and selling shareholders who are involved in a transaction covered by Rule 48-501, provided the Insider is not acting jointly or in concert with the issuer or selling shareholder. The exemption from the prospectus requirement contained in Part 4 of Rule 48-501 will remain in whole.
