Contents of the memo:
As of January 2, 1998, Companies Branch is no longer providing certified copies of corporate documents. Instead they will provide clients with certified microfiche. In addition they will also provide a duplicate uncertified copy of the microfiche so that clients may make paper copies.
Up until now, when registering a corporate document, clients would register either a copy certified by Companies Branch or a notarial copy. In order for them to now register a copy of a document produced from the microfiche, the wording in the notarial certificate may be modified to reflect the facts. For example, they may amend the standard certificate as follows:
- Do certify and attest that the paper-writing hereto annexed is a true copy of a document produced from microfiche obtained from the Companies Branch of the Ministry of Consumer and Commercial Relations and purporting to be (name of document), the said copy having been compared by me with the copy produced from microfiche.
Clients still have the option of registering a notarial copy of the original if they so wish without any modification to the notarial certificate.
As you probably know, Companies Branch has automated their records back to June of 1992. Clients can request different products from them remotely through service providers such as search houses or through the Internet. RPR is working with Companies Branch to review these products in order to determine if there is an alternative to the registration of a copy of a corporate document produced from microfiche.
