Application

1. This Regulation sets out the rules applicable to every advisory committee established by the board under section 11 of the Act.

Chair and vice-chair

2. (1) The board shall appoint a chair of each advisory committee.

(2) The board may, at its discretion, appoint a vice-chair of each advisory committee who shall exercise the responsibilities listed in subsection (3) when the chair is absent or unable to act.

(3) The chair shall,

(a)  arrange and facilitate meetings;

(b)  promote active participation by all committee members;

(c)  encourage respectful and productive discussions of the committee;

(d)  report on the activities of the committee at any intervals required by the board, and at any other time at the request of the board; and

(e)  perform any other duties that may be specified by the board in writing.

Voting

3. (1) Each member of an advisory committee, including the chair, is entitled to one vote.

(2) Where there is a tied vote, the chair of the committee shall not have a casting or deciding vote, and the motion is defeated.

Meetings

4. (1) Each advisory committee shall meet at least two times per year, or at other times as required by the Chief Executive Officer or the board.

(2) Meetings may be held in person, by teleconference, virtually or through any other communication method that allows all participants equal access to communicate with one another.

(3) The Chief Executive Officer may, at their discretion, attend meetings of each committee or designate an Authority staff member to attend on their behalf.

(4) The minutes of all meetings for each committee shall be recorded and retained by a designated Authority staff member, who shall share them with the Chief Executive Officer and all board and committee members in a timely manner.

Quorum

5. The quorum for an advisory committee meeting is a simple majority of the committee members.

Requirements on members

6. Each member of an advisory committee shall,

(a)  comply with any board code of conduct policy;

(b)  abide by any applicable policies as determined by the board;

(c)  actively participate in committee discussions;

(d)  attend all scheduled meetings to the best of their ability, and where attendance is not possible, provide advance written notice to the chair;

(e)  be prepared for meetings by reviewing materials in advance;

(f)  disclose any potential conflicts of interest in advance of committee discussions in compliance with any board conflict of interest policy or by-law in place at the time;

(g)  make recommendations to help progress the work of the committee;

(h)  notify the committee if a matter arises which may impact their sector; and

(i)  treat all information and documents as confidential in compliance with any board confidentiality policy or by-law in place at the time.

Remuneration and reimbursement

7. Advisory committee members shall be remunerated in accordance with any board remuneration policy or by-law in place at the time, and be reimbursed for reasonable expenses in compliance with any board expense policy or by-law in place at the time.

Communication

8. (1) The chair of each advisory committee is responsible for all communications with the board and the Chief Executive Officer outside of committee meetings.

(2) Neither the chair of an advisory committee nor a committee member may speak to the media on behalf of the committee or as a representative of the Authority without the approval of the chair of the board or of the Chief Executive Officer.

(3) Where an advisory committee makes a recommendation to the board, the recommendation shall be posted by the board on the Authority’s website.

Commencement

9. This Regulation comes into force on the later of the day subsection 11 (1) of Schedule 2 (Health and Supportive Care Providers Oversight Authority Act, 2021) to the Advancing Oversight and Planning in Ontario’s Health System Act, 2021 comes into force and the day this Regulation is filed.
