Notice of Default in Complying with the Corporations Tax Act

The Director has been notified by the Minister of Finance that the following corporations are in default in complying with the Corporations Tax Act.

Notice Is Hereby Given under subsection 241(1) of the Business Corporations Act, that unless the corporations listed hereunder comply with the requirements of the Corporations Tax Act within 90 days of this notice, orders will be made dissolving the defaulting corporations. All enquiries concerning this notice are to be directed to Ministry of Finance, Corporations Tax, 33 King Street West, Oshawa, Ontario L1H 8H6.

Amendments to the Distribution System Code

Note: The text of the amendments is set out in italics below, for ease of identification only.

  1. Section 1.2 of the Distribution System Code is amended as follows:
    1. by deleting the definition of “enhancement” and replacing it with the following:

      “enhancement” means a modification to the main distribution system that is made to improve system operating characteristics such as reliability or power quality or to relieve system capacity constraints resulting, for example, from general load growth, but does not include a renewable enabling improvement;
    2. by deleting the definition of “expansion” and replacing it with the following:

      “expansion” means a modification or addition to the main distribution system in response to one or more requests for one or more additional customer connections that otherwise could not be made, for example, by increasing the length of the main distribution system, and includes the modifications or additions to the main distribution system identified in section 3.2.30 but in respect of a renewable energy generation facility excludes a renewable enabling improvement;

      and
    3. by adding the following immediately after the definition of “Regulations”:

      “renewable enabling improvement” means a modification or addition to the main distribution system identified in section 3.3.2 that is made to enable the main distribution system to accommodate generation from renewable energy generation facilities;

      “renewable energy expansion cost cap” means, in relation to a renewable energy generation facility, the dollar amount determined by multiplying the total name-plate rated capacity of the renewable energy generation facility referred to in section 6.2.9(a) (in MW) by $90,000, reduced where applicable in accordance with section 3.2.27A;

      “renewable energy generation facility” has the meaning given to it in the Act;

      “renewable energy source” has the meaning given to it in the Act;
  1. Section 3.2 of the Distribution System Code is amended by adding the following immediately after section 3.2.5:

    3.2.5A  Notwithstanding section 3.2.5 but subject to section 3.2.5B, a distributor shall not charge a generator to construct an expansion to connect a renewable energy generation facility:

    1. if the expansion is in a Board-approved plan filed with the Board by the distributor pursuant to the deemed condition of the distributor’s licence referred to in paragraph 2 of subsection 70(2.1) of the Act, or is otherwise approved or mandated by the Board; or
    2. in any other case, for any costs of the expansion that are at or below the renewable energy generation facility’s renewable energy expansion cost cap.

      For greater clarity, the distributor shall bear all costs of constructing an expansion referred to in (a) and, in the case of (b), shall bear all costs of constructing the expansion that are at or below the renewable energy generation facility’s renewable energy expansion cost cap.

    3.2.5B  Where an expansion is undertaken in response to a request for the connection of more than one renewable energy generation facility, a distributor shall not charge any of the requesting generators to construct the expansion:

    1. if the expansion is in a Board-approved plan filed with the Board by the distributor pursuant to the deemed condition of the distributor’s licence referred to in paragraph 2 of subsection 70(2.1) of the Act, or is otherwise approved or mandated by the Board; or
    2. in any other case, for any costs of the expansion that are at or below the amount that results from adding the total name-plate rated capacity of each renewable energy generation facility referred to in section 6.2.9(a) (in MW) and then multiplying that number by $90,000.

    For greater clarity, the distributor shall bear all costs of constructing an expansion referred to in (a) and, in the case of (b), shall bear all costs of constructing the expansion that are at or below the number that results from the calculation referred to in (b).

    3.2.5C  Where, in accordance with the calculation referred to in section 3.2.5B(b), a capital contribution is payable by the requesting generators, the distributor shall apportion the amount of the capital contribution among the requesting generators on a pro-rata basis based on the total name-plate rated capacity of the renewable energy generation facility referred to in section 6.2.9(a) (in MW).

  1. Section 3.2 of the Distribution System Code is amended by adding the following immediately after section 3.2.27:

    3.2.27A   Notwithstanding section 3.2.27, when the unforecasted customer is a renewable energy generation facility to which section 3.2.5A or 3.2.5B applies and the customer entitled to a rebate under section 3.2.27 is a load customer or a generation customer to which neither section 3.2.5A nor 3.2.5B applies, the initial contributors shall be entitled to a rebate from the distributor in an amount determined in accordance with section 3.2.27. The distributor shall reduce the connecting renewable energy generation facility’s renewable energy expansion cost cap by an amount equal to the rebate. If the amount of the rebate exceeds the connecting renewable generation facility’s renewable energy expansion cost cap, the distributor shall also collect the difference from the connecting renewable energy generation customer.

  2. Section 3.2 of the Distribution System Code is amended by adding the following immediately after section 3.2.29:

    3.2.30  An expansion of the main distribution system includes:
    1. building a new line to serve the connecting customer;
    2. rebuilding a single-phase line to three-phase to serve the connecting customer;
    3. rebuilding an existing line with a larger size conductor to serve the connecting customer;
    4. rebuilding or overbuilding an existing line to provide an additional circuit to serve the connecting customer;
    5. converting a lower voltage line to operate at higher voltage;
    6. replacing a transformer to a larger MVA size;
    7. upgrading a voltage regulating transformer or station to a larger MVA size; and
    8. adding or upgrading capacitor banks to accommodate the connection of the connecting customer.
  3. Section 3.3 of the Distribution System Code is amended by adding the following immediately after section 3.3.1:

    3.3.2  Renewable enabling improvements to the main distribution system to accommodate the connection of renewable energy generation facilities are limited to the following:
    1. modifications to, or the addition of, electrical protection equipment;
    2. modifications to, or the addition of, voltage regulating transformer controls or station controls;
    3. the provision of protection against islanding (transfer trip or equivalent);
    4. bidirectional reclosers;
    5. tap-changer controls or relays;
    6. replacing breaker protection relays;
    7. Supervisory Control and Data Acquisition system design, construction and connection;
    8. any other modifications or additions to allow for and accommodate 2-way electrical flows or reverse flows; and
    9. communication systems to facilitate the connection of renewable energy generation facilities.

    3.3.3  Subject to section 3.3.4, the distributor shall bear the cost of constructing an enhancement or making a renewable enabling improvement, and therefore shall not charge:

    1. a customer a capital contribution to construct an enhancement; or
    2. a customer that is connecting a renewable energy generation facility a capital contribution to make a renewable enabling improvement.

    3.3.4  Section 3.3.3(a) shall not apply to a distributor until the distributor’s rates are set based on a cost of service application for the first time following the 2010 rate year.

  1. Section B.1 of Appendix B of the Distribution System Code is amended by adding the following immediately after paragraph (d) under the heading “Capital Costs”:

    (d.1)  paragraph (d) shall cease to apply to a distributor as of the date on which the distributor’s rates are set based on a cost of service application for the first time following the 2010 rate year.

Amendments to the Transmission System Code

  1. Section 2.0.13 of the Transmission System Code is amended by adding the following to the end of that section immediately before the semi-colon:

    , and includes an enabler facility
  2. Section 2 of the Transmission System Code is amended by adding the following immediately after section 2.0.28:

    2.0.28A  “enabler facility” means a line connection facility or a transformation connection facility that is or will be constructed, owned and operated by a transmitter and to which two or more generation facilities that are included in a renewable resource cluster are connected or intend to connect to convey energy into a transmitter’s transmission system, where any of the following apply: (a) the connection facility is identified as an “enabler facility” and the associated renewable resource cluster is identified as such in an integrated power system plan that has been approved under Part Ii.2 of the Electricity Act or in a Board-approved plan filed with the Board by a transmitter pursuant to the deemed condition of the transmitter’s licence referred to in paragraph 2 of subsection 70(2.1) of the Act; (b) the associated renewable resource cluster is the subject of a direction issued by the Minister to the Ontario Power Authority under section 25.32 of the Electricity Act on or after October 20, 2009 and the Board, on the advice of the Ontario Power Authority, has determined that a connection facility is required; or (c) the OPA has provided the Board with written advice identifying the associated renewable resource cluster as one for which an enabler facility would be desirable, and the Board has determined that a connection facility is required and that the connection facility satisfies the screening criteria set out in section 3A.
  3. Section 2.0.14 of the Transmission System Code is amended by adding the following to the end of that section immediately before the semi-colon:

    and, in the case of an enabler facility, means each point of connection between the enabler facility and any customer facility connected to the enabler facility
  4. Section 2.0.57 of the Transmission System Code is deleted and replaced with the following:

    2.0.57   “renewable generation” means a generation facility that generates electricity using a renewable energy source as defined in the Electricity Act;
  5. Section 2 of the Transmission System Code is amended by adding the following immediately after section 2.0.57:

    2.0.57A   “renewable resource cluster” means a geographic area where resources suitable for renewable generation are present and where the renewable generation facilities are not, or are not expected to be, owned or controlled by the same person and that is identified as such in: (a) an integrated power system plan approved under Part Ii.2 of the Electricity Act or a Board-approved plan filed with the Board by a transmitter pursuant to the deemed condition of the transmitter’s licence referred to in paragraph 2 of subsection 70(2.1) of the Act; (b) a direction issued by the Minister to the Ontario Power Authority under section 25.32 of the Electricity Act; or (c) written advice from the OPA to the Board;
  6. Section 3 of the Transmission System Code is amended by adding the following immediately after section 3.0.13:
     

    3A.  Screening Criteria For Enabler Facilities

    3A.1  The following are the screening criteria that must be satisfied by a connection facility in order to qualify as an enabler facility where clause (c) of the definition of “enabler facility” applies:
    1. the capacity of the associated renewable resource cluster is at least 100 MW; and
    2. if the proposed enabler facility is a line connection facility, either:
      1. the proposed line connection facility is at least 10 km in length; or
      2. the OPA has satisfied the Board that the line connection facility should qualify as an enabler facility because such treatment would be superior, for technical or cost effectiveness reasons, to the generation facilities in the associated renewable resource cluster connecting directly to the transmitter’s existing transmission facilities individually or on a coordinated basis.

    3A.2  Nothing in section 3A.1 shall prevent the Board from determining, in a proceeding to consider an application made under section 92 of the Act or a process commenced to address the issue of the continued qualification of a connection facility as an enabler facility, that a connection facility should maintain its qualification as an enabler facility notwithstanding that the enabler facility no longer satisfies the screening criteria set out in section 3A.1, if the Board is satisfied that the deficiency is not material in the circumstances.

  1. Section 6.2.24 of the Transmission System Code is amended by adding the following immediately after the phrase “for the construction of a connection facility,” in the first sentence:

    other than an enabler facility,
  2. Section 6.3.3 of the Transmission System Code is amended by deleting the phrase “a generator customer’s needs,” in the first sentence and replacing it with the following:

    the needs of one or more generation customers or is required to construct an enabler facility,
  3. Section 6.3.4 of the Transmission System Code is deleted and replaced with the following:

    Where a transmitter has to modify a transmitter-owned connection facility to meet the needs of one or more generator customers or is required to construct an enabler facility, the transmitter shall require the applicable generator customer or customers to make a capital contribution to cover the cost of the modified connection facility or of the enabler facility, calculated in accordance with the economic evaluation methodology set out in section 6.5.
  4. Section 6.3.8 of the Transmission System Code is deleted and replaced with the following:

    A transmitter shall not require a customer to make a capital contribution for capacity added by the transmitter to a transmitter-owned connection facility in anticipation of future load growth not attributable to that customer or in anticipation of the future capacity requirements of other generator customers. For this purpose, where the transmitter-owned connection facility is an enabler facility, the capacity requirements of the renewable generation facilities expected to connect to the enabler facility shall not be considered as future capacity requirements.
  5. Section 6.3.9 of the Transmission System Code is amended by deleting the words “as described in section 6.3.14, 6.3.15 or 6.3.16” at the end of the second sentence and replacing it with the following:

    as described in section 6.3.14, 6.3.14A, 6.3.15 or 6.3.16
  6. Section 6.3 the Transmission System Code is amended by adding the following immediately after section 6.3.10:

    6.3.10A  Despite section 6.3.10, a transmitter shall not require a security deposit in relation to the construction of an enabler facility.
  7. Section 6.3 of the Transmission System Code is amended by adding the following immediately after section 6.3.14:

    6.3.14A  Where a transmitter is required to construct an enabler facility, the transmitter shall attribute the cost of the enabler facility, depreciated to the time of connection, to generator customers connecting to the enabler facility from time to time in proportion to the manufacturer’s total installed rated capacity of their respective generation facilities at the time of connection expressed as a percentage of the total capacity of the enabler facility. For this purpose, the total capacity of the enabler facility shall be determined on the basis of its capacity at the time at which the enabler facility comes into service.
  8. Section 6.3 of the Transmission System Code is amended by adding the following immediately after section 6.3.16:

    6.3.16A  Despite section 6.3.16:
    1. a transmitter shall not attribute the cost of an enabler facility to a load customer that connects to the enabler facility unless section 6.3.2 applies; and
    2. a transmitter shall attribute the cost of an enabler facility to generator customers in accordance with section 6.3.14A.
  9. Section 6.3.17 of the Transmission System Code is amended by adding the following immediately after the phrase “for the construction of a connection facility,” in the first sentence:

    other than an enabler facility,
  10. Section 6.5 of the Transmission System Code is amended by adding the following immediately after section 6.5.1:

    6.5.1A  Where a transmitter constructs an enabler facility, the cost to be attributed to generator customers under section 6.3.14A shall be the fully allocated cost of the enabler facility. The transmitter shall include the capital cost of equipment installed on transmitter-owned connection facilities by the transmitter for monitoring the performance of the generation facilities and for verification testing of fault protection equipment associated with the generation facilities. If any generator customer elects to have verification testing costs included in the economic evaluation rather than paying such costs on an “as incurred” basis over time, the transmitter shall also include the present value of the estimated cost of doing periodic verification testing of its monitoring and testing equipment and, if necessary, of similar equipment owned by the generator customer. The transmitter shall include the present value of the operation and maintenance costs associated with an enabler facility.
  11. Section 13 of the Transmission System Code is amended by adding the following immediately after section 13.0.1:

    13.0.2  Except where expressly provided otherwise, any amendments to this Code shall come into force on the date on which the Board publishes the amendments by placing them on the Board’s website after they have been made by the Board.

On the recommendation of the undersigned, the Lieutenant Governor, by and with the advice and concurrence of the Executive Council, orders that:

Order in Council

Whereas pursuant to subsection 2(1) of the Executive Council Act, R.S.O 1990, c. E.25, a member of the Executive Council has been appointed under the Great Seal to hold office as the Minister of Natural Resources;

Therefore Pursuant To subsections 2(2), 5(1) and 8(1) of the Executive Council Act:

Minister to preside over Ministry

  1. The Minister of Natural Resources (the “Minister”) shall preside over a ministry known as the Ministry of Natural Resources (the “Ministry”).

Minister

  1. The Minister shall exercise the powers and perform the duties, functions and responsibilities that are assigned by law to the Minister or that may otherwise be assigned to or undertaken by the Minister in respect of natural resources, and any other matters related to the Minister’s portfolio other than the following forestry matters: the advocacy and promotion of the forest industry including international trade and development; the development of industrial strategy for the forest industry; the issuance of forest resource licences and forest resource processing facility licences as set out in sections 4(d) and (n) of this Order in Council; policy direction in respect of forest resource allocation, tenure, pricing and scaling and other economic matters related to the forest industry, but not including forest stewardship.
  2. The Minister, in conjunction with the Minister of Northern Development, Mines and Forestry, shall develop policy in respect of the issuance of forest resource licences issued under section 27 and Class B,G,I and J forest resource processing facility licences issued under section 54 of the Crown Forest Sustainability Act, 1994, S.O. 1994, c. 25.
  3. The Minister shall exercise the powers and perform the duties, functions and responsibilities under the Crown Forest Sustainability Act, 1994, S.O. 1994, c. 25 except in respect of,
    1. sections 20 and 21 as they relate to the forestry matters described in section 2 of this Order in Council which have been assigned and transferred to the Minister of Northern Development, Mines and Forestry:
    2. the provision of notice of the intent to make forest resources available for harvest under subsection 24(1) where the disposition will involve a competitive process;
    3. subsections 24(2) and 24(3);
    4. sections 25, 26;
    5. section 28 with respect to forest resource licences issued under section 26;
    6. subsection 29(1);
    7. sections 30,31,32 and 33;
    8. sections 34 and 35 with respect to forest resource licences issued under section 26;
    9. section 36;
    10. section 38 where one or more forest resource licences are issued under section 26;
    11. sections 39 and 40;
    12. section 41 with respect to forest resource licences issued under section 26;
    13. sections 45 and 46 ;
    14. Part Vi with respect to the issuance of forest resource processing facility licences other than Class B, G, I and J licences;
    15. section 59 with respect to forest resource licences issued under section 26;
    16. section 60;
    17. sections 61 and 62 with respect to the collection of Crown charges;
    18. section 66;
    19. paragraph 4 of subsection 68(1);
    20. subsection 68(8); and
    21. recommending regulations to be made by the Lieutenant Governor in Council in respect of any matters related to the powers, functions, duties or responsibilities under the Crown Forest Sustainability Act, 1994, S.O. 1994, c.25. which have been assigned and transferred to the Minister of Northern Development, Mines and Forestry.
  4. The Minister shall exercise the powers and perform the duties, functions and responsibilities under the Ministry of Natural Resources Act, R.S.O 1990, c. F.28, except in respect of section 13.1 in respect of activities and programs related to the forest industry and economic matters relating to forestry which have been assigned and transferred to the Minister of Northern Development, Mines and Forestry.

Ministry

  1. The Ministry shall carry out the functions, responsibilities and programs that are assigned by law to the Ministry or that may otherwise be assigned to or undertaken by the Ministry in respect of natural resources, and any other matters related to the Minister’s portfolio other than the matters set out at section 2 of this Order in Council which have been assigned and transferred to the Ministry of Northern Development, Mines and Forestry.
  2. The Ministry shall carry out the functions, responsibilities and programs under the Crown Forest Sustainability Act, 1994, S.O. 1994, c.25, except in respect of the matters set out at section 4 of this Order in Council, which have been assigned and transferred to the Ministry of Northern Development, Mines and Forestry.

Administration of Statutes

  1. Despite any provision of a statute or Order in Council, the administration of the statutes set out in the Appendix to this Order in Council is assigned to the Minister.

Revocation of Order in Council

  1. Order in Council O.C. 1698/2003 dated November 19, 2003, as revised by Order in Council O.C. 2355/2006 dated November 22, 2006 and Order in Council O.C. 1763/2007 dated July 25, 2007, is hereby revoked.

F.28, that were previously assigned to the Minister of Natural Resources under Order in Council O.C. 1698/2003 dated November 19, 2003, and such powers, duties, functions and responsibilities are assigned and transferred accordingly.
  6. The Minister shall exercise the powers and perform the duties, functions and responsibilities of the Minister of Natural Resources in section 13.1 of the Ministry of Natural Resources Act, R.S.O 1990, c. M. 31, in respect of activities and programs related to the matters set out at section 3 of this Order in Council which have been assigned to the Minister pursuant to this Order in Council, which powers, duties, functions and responsibilities may also be exercised and performed by the Minister of Natural Resources in respect of his or her portfolio.
  7. Without limiting section 7 of this Order in Council, the Minister shall assume responsibility for the administration of the Forest Sector Prosperity Fund, the Loan Guarantee Program, the Wood Promotion Program, the Forest Access Roads Program and the Northern Pulp and Paper Electricity Transition Program (collectively, the “Programs”) previously established by the Minister of Natural Resources under section 13.1 of the Ministry of Natural Resources Act, R.S.O 1990, c. M. 31, and the Minister shall exercise the powers, duties, functions and responsibilities that were previously assigned to the Minister of Natural Resources in respect of such Programs. Such powers, duties, functions and responsibilities are assigned and transferred accordingly.
  8. The Minister shall exercise the powers and perform the duties, functions and responsibilities under subsection 2(5) of the Road Access Act, R.S.O 1990, c. R. 34, that were previously assigned to the Minister of Northern Development and Mines under Order in Council O.C. 1699/2003 dated November 19, 2003, and such powers, duties, functions and responsibilities are assigned and transferred accordingly.

  1.
