Government Notices Respecting Corporations
Notice of Default in Complying with the Corporations Tax Act
The Director has been notified by the Minister of Finance that the following corporations are in default in complying with the Corporations Tax Act.
Notice Is Hereby Given under subsection 241(1) of the Business Corporations Act, that unless the corporations listed hereunder comply with the requirements of the Corporations Tax Act within 90 days of this notice, orders will be made dissolving the defaulting corporations. All enquiries concerning this notice are to be directed to Ministry of Finance, Corporations Tax, 33 King Street West, Oshawa, Ontario L1H 8H6.

Post-2011 Contract First Amending Agreement
This Agreement made as of the 25th day of June, 2014.
Between:
Ontario Lottery And Gaming Corporation
(hereinafter referred to as “OLG”)
- and -
Chippewas Of Rama First Nation, also known as the
Chippewas Of Mnjikaning First Nation
(hereinafter referred to as “Rama”)
- and -
Casino Rama Inc.
(hereinafter referred to as “CRI”)
- and -
Rama Access Inc.
(hereinafter referred to as “RAI”)
- and -
455457 Ontario Inc.
(hereinafter referred to as “455457”).
Whereas OLG, Rama, Cri, Rai and 455457 (collectively, the “Parties” and, each, a “Party”) are parties to an agreement entitled “Post-2011 Contract Relating to Casino Rama for the 20-Year Period Commencing August 1, 2011 and Relating to Possible Future Development” made July 17, 2009 (the “Post-2011 Contract”);
And Whereas all capitalized terms used but not otherwise defined herein shall have the respective meanings ascribed thereto in the Post-2011 Contract unless the context otherwise requires;
And Whereas pursuant to the Post-2011 Contract, the Parties agreed that they would enter into certain arrangements and discussions with respect to, among other things, the Future Developments and the GED Training Centre;
And Whereas as a result of certain discussions to date, the Parties have executed and delivered the following agreements:
- a letter of intent executed as of September 7, 2011 by Rama and OLG, as amended and restated by an amended and restated letter of intent executed as of May 31, 2012 by Rama and OLG (collectively, the “Letter of Intent”) which sets out the principal terms and conditions with respect to the planning and proposed construction, development and location of the Employee Parking Lot;
- a permit made as of May 1, 2012 between Her Majesty the Queen in Right of Canada (“HMQ”) and CRI pursuant to section 28(2) of the Indian Act (Canada) (the “Employee Parking Lot Permit”) which permits CRI to use and occupy certain lands situated on the Reserve for the Employee Parking Lot; and
- an employee parking lot licence dated as of May 31, 2012 between CRI and OLG (the “Employee Parking Lot Licence”) pursuant to which CRI granted to OLG a licence to use and occupy certain of the lands CRI is permitted to use and occupy pursuant to the Employee Parking Lot Permit;
And Whereas a document entitled “Post-2011 Contract: Alternative Option for Consideration” dated November 4, 2011 (the “Alternative Option”) was prepared and presented by the Casino Rama Post-2011 Steering Committee to Rama and OLG for their consideration and approval;
And Whereas:
- by motion #2011-2012-889 dated March 5, 2012, Chief and Council of Rama accepted the Alternative Option; and
- by a resolution passed by the board of directors of OLG on April 27, 2012, OLG management was authorized to negotiate, settle and execute an amending agreement with respect to the Post-2011 Contract incorporating the terms of the Alternative Option;
And Whereas the Parties have agreed to enter into this Post-2011 Contract First Amending Agreement (the “Agreement”) pursuant to which, among other things, they: (a) confirm and acknowledge the occurrence of certain events and the completion of certain matters contemplated by the Post-2011 Contract since the date the Post-2011 Contract was entered into; and (b) confirm, acknowledge and agree upon the application of the Alternative Option to the Post-2011 Contract and the amendments required to certain provisions of the Post-2011 Contract as a result of the acceptance of the Alternative Option and the occurrence of the events and the completion of the matters referred to in (a) of this recital;
Now Therefore, in consideration of the respective covenants set forth herein and other good and valuable consideration (the receipt and sufficiency of which are hereby acknowledged by each of the Parties), the Parties hereby agree as follows:
Article 1
Acknowledgments, Confirmations And Amendments
provided that, notwithstanding the foregoing or anything else to the contrary contained herein or in the Post-2011 Contract, Section 2.6 of the Post-2011 Contract shall not apply to or in respect of the Employee Parking Lot Permit, and OLG’s obligations with respect to the Employee Parking Lot Permit and the Permit Area thereunder (and as defined therein) shall be limited to only those obligations which are expressly set forth in the Employee Parking Lot Licence.
When executed and delivered, such new agreement will be a Material Agreement.
and, accordingly, notwithstanding anything to the contrary contained in the Post-2011 Contract or elsewhere, that the obligations and requirements contained in Article 10 of the Post-2011 Contract (including, without limitation, those obligations upon OLG under Section 10.5(a) of the Post-2011 Contract to contribute $2,000,000 towards the capital costs of the GED Training Centre) are hereby deemed to be at an end and of no further force or effect and, as such, no further discussions, arrangements or actions shall be required or necessary under or as a result thereof.
Miscellaneous
-
- Section 2.3 Acknowledgments, Confirmations and Amendments
- The Parties hereby acknowledge, confirm and agree, with respect to Section 2.3(a) of the Post-2011 Contract, that:
- pursuant to and in satisfaction of an agreement entitled “Agreement Re Railway Lands Lease” made as of July 17, 2009 between Rama and OLG (the form of which was attached as Schedule 6 to the Post-2011 Contract), Rama and OLG entered into an Amended and Restated Lease (Railway Lands) made as of August 1, 2011 (as amended, restated, supplemented and/or otherwise modified from time to time, collectively, the “Amended and Restated Railway Lands Lease”) pursuant to which the Railway Lands Lease was amended and restated on the terms and conditions contained in the Amended and Restated Railway Lands Lease. Upon execution and delivery of the Amended and Restated Railway Lands Lease, the Amended and Restated Railway Lands Lease became, and is hereby confirmed to be, a Material Agreement for all purposes of the Post-2011 Contract;
- pursuant to and in satisfaction of Section 2.3(a) of the Post-2011 Contract, CRI and OLG entered into an Amended and Restated Complex Sublease (the form of which was attached as Schedule 7 to the Post-2011 Contract) made as of July 17, 2009 (as amended, restated, supplemented and/or otherwise modified from time to time, collectively, the “Amended and Restated Complex Sublease”) pursuant to which the Complex Sublease was amended and restated on the terms and conditions contained in the Amended and Restated Complex Sublease. Upon execution and delivery of the Amended and Restated Complex Sublease, the Amended and Restated Complex Sublease became effective and enforceable as between CRI and OLG notwithstanding anything to the contrary contained in the Post-2011 Contract and became, and is hereby confirmed to be, a Material Agreement for all purposes of the Post-2011 Contract;
- pursuant to and in satisfaction of Section 2.3(a) of the Post-2011 Contract, OLG, 1176290 Ontario Limited (O/A Biindigen Gift Shop) (“1176290”) and Rama entered into a Casino Rama Retail Stores Licence (the form of which was attached as Schedule 8 to the Post- 2011 Contract) made July 17, 2009 (as amended, restated, supplemented and/or otherwise modified from time to time, collectively, the “Replacement Retail Stores Licence”) pursuant to which the Retail Stores Licence (which expired at midnight on July 31, 2011) was replaced on the terms and conditions contained in the Replacement Retail Stores Licence. Upon execution and delivery of the Replacement Retail Stores Licence, the Replacement Retail Stores Licence became effective and enforceable as between OLG, 1176290 and Rama notwithstanding anything to the contrary contained in the Post-2011 Contract and became, and is hereby confirmed to be, a Material Agreement for all purposes of the Post-2011 Contract;
- pursuant to and in satisfaction of an agreement entitled “Agreement Re Warehouse Lease” made as of July 17, 2009 between 455457 and OLG (the form of which was attached as Schedule 9 to the Post-2011 Contract), 455457 and OLG entered into a Commercial Net Lease (Warehouse Building) made as of August 1, 2011 (as amended, restated, supplemented and/or otherwise modified from time to time, collectively, the “Warehouse Building Lease”) pursuant to which the New Warehouse Lease (which expired at midnight on July 31, 2011) was replaced on the terms and conditions contained in the Warehouse Building Lease. Upon execution and delivery of the Warehouse Building Lease, the Warehouse Building Lease became, and is hereby confirmed to be, a Material Agreement for all purposes of the Post- 2011 Contract; and
- pursuant to and in satisfaction of an agreement entitled “Agreement Re Administration Buildings Lease” made as of July 17, 2009 between 455457 and OLG (the form of which was attached as Schedule 10 to the Post-2011 Contract), 455457 and OLG entered into a Commercial Net Lease (Administration Building) made as of August 1, 2011 (as amended, restated, supplemented and/or otherwise modified from time to time, collectively, the “Administration Building Lease”) pursuant to which the Administration Subleases (both of which expired at midnight on July 31, 2011) were replaced on the terms and conditions contained in the Administration Building Lease. Upon execution and delivery of the Administration Building Lease: (A) the Administration Building Lease became, and is hereby confirmed to be, a Material Agreement for all purposes of the Post-2011 Contract; and (B) all of the agreements and leases to be executed and delivered pursuant to Section 2.3(a) of the Post-2011 Contract were executed and delivered.
- The Parties acknowledge, confirm and agree, with respect to Section 2.3(b) of the Post-2011 Contract, that:
- pursuant to and in satisfaction of Section 2.3(b) of the Post-2011 Contract, Rama, OLG and the Operator entered into a Casino Rama Fire Protection Agreement made as of August 1, 2011 (as amended, restated, supplemented and/or otherwise modified from time to time, collectively, the “Fire Protection Agreement”) pursuant to which the Casino Rama Fire Protection Agreement attached as Schedule 11 to the Post-2011 Contract was extended and continued during the Applicable Period on the terms and conditions contained in the Fire Protection Agreement; and
- upon execution and delivery of the Fire Protection Agreement, the Fire Protection Agreement became, and is hereby confirmed to be, a Material Agreement for all purposes of the Post-2011 Contract; and
- the agreement to be executed and delivered pursuant to Section 2.3(b) of the Post-2011 Contract was executed and delivered.
- The Parties acknowledge, confirm and agree, with respect to Section 2.3(c) of the Post-2011 Contract, that:
- pursuant to and in satisfaction of Section 2.3(c) of the Post-2011 Contract, Rama, OLG and the Operator entered into a Casino Rama Police Services Agreement made as of August 1, 2011 (as amended, restated, supplemented and/or otherwise modified from time to time, collectively, the “Casino Rama Police Services Agreement”) pursuant to which the Draft Casino Rama Police Services Agreement attached as Schedule 2 to the Post-2011 Contract was extended and continued during the Applicable Period on the terms and conditions contained in the Casino Rama Police Services Agreement; and
- upon execution and delivery of the Casino Rama Police Services Agreement, the Casino Rama Police Services Agreement became, and ishereby confirmed to be, a Material Agreement for all purposes of the Post-2011 Contract; and
- the agreement to be executed and delivered pursuant to Section 2.3(c) of the Post-2011 Contract was executed and delivered.
- The Parties hereby acknowledge, confirm and agree, with respect to Section 2.3(a) of the Post-2011 Contract, that:
- Section 2.6 Acknowledgments, Confirmations and Agreements
The Parties hereby acknowledge, confirm and agree, with respect to Section 2.6 of the Post-2011 Contract, that on May 31, 2012 the Employee Parking Lot Permit became, and is hereby confirmed to be:- a Material Agreement for all purposes of the Post-2011 Contract; and
- a Permit for all purposes of the Post-2011 Contract, and, accordingly, the definition of “Permits” in the Post-2011 Contract was revised to include and refer to, and is hereby confirmed to include and refer to, the Employee Parking Lot Permit,
- Employee Parking Lot-Related Acknowledgments, Confirmations and Agreements
The Parties hereby acknowledge, confirm and agree that:- pursuant to Section 11.1 of the Post-2011 Contract, Rama elected to exercise its right of first opportunity to assume the role of developer with respect to the development of the Employee Parking Lot;
- Rama and OLG have entered into the Letter of Intent, which:
- sets out, among other things, the principal terms and conditions under which Rama would assume the role of developer for, and develop, the Employee Parking Lot and Rama and OLG would work cooperatively with respect to the planning and proposed construction, development and location of the Employee Parking Lot; and
- upon execution and delivery, became, and is hereby confirmed to be, a Material Agreement for all purposes of the Post-2011 Contract;
- pursuant to the Letter of Intent, Rama and OLG agreed that:
- a portion of the Employee Parking Lot would be constructed by Rama in accordance with the Letter of Intent on a portion of the Complex Sublease lands, for use and occupation by OLG in accordance with the Complex Sublease (and for no additional consideration); and
- the remainder of the Employee Parking Lot would be constructed by Rama in accordance with the Letter of Intent on the Phase 1 EPL Licensed Lands under, and as defined in, the Letter of Intent, for use and occupation by OLG on the terms and conditions to be set out in the Employee Parking Lot Licence;
- OLG and CRI have entered into the Employee Parking Lot Licence, which, notwithstanding anything to the contrary contained in the Post-2011 Contract or elsewhere:
- fully and completely satisfies all obligations and requirements with respect to the Employee Parking Lot and the Employee Parking Lot Lease which are contained in the Post-2011 Contract (including, without limitation, Section 7.1 thereof) and any subsequent agreements entered into by the Parties in respect of the Employee Parking Lot and the Employee Parking Lot Lease, such that no further arrangements or actions shall be required thereunder or as a result thereof, and any and all prior agreements (including, without limitation, the Post-2011 Contract and the Letter of Intent), written or verbal, express or implied, between the Parties relating to the right of OLG to occupy the Licensed Area (as defined in the Employee Parking Lot Licence) are hereby replaced and superseded by the terms of the Employee Parking Lot Licence; and
- upon execution and delivery, became, and is hereby confirmed to be, a Material Agreement for all purposes of the Post-2011 Contract;
- as of May 31, 2012 (being the date the Employee Parking Lot Licence was executed and delivered):
- the definition of “Employee Parking Lot” in the Post-2011 Contract was revised to mean and refer to, and is hereby confirmed to mean and refer to, collectively:
- the Licensed Lot under, and as defined in, the Employee Parking Lot Licence; and
- the portion of the parking lot located on that part of the Complex Sublease lands identified as the “Subleased Area” on the plan attached as Schedule B to the Employee Parking Lot Licence,
which became, for greater certainty, a “Future Development” for all purposes of the Post-2011 Contract;
- all references to the “Employee Parking Lot Lease” in the Post-2011 Contract were replaced by references to the “Employee Parking Lot Licence”, which meant and referred to, and is hereby confirmed to mean and refer to, the Employee Parking Lot Licence;
- the definition of “Complex” in Section 1.1 of the Post-2011 Contract was deleted and replaced with the following (additional wording underlined):
“Complex” – the Complex Lands and all Improvements thereon, including the Casino, Hotel, Entertainment Centre, Additional Surface Parking and any Future Developments and together with all related parking improvements, food and beverage businesses, shuttle and bus services, parking businesses, amenities and any other businesses that are integrated, physically or operationally, with the Casino regardless of whether such related Improvements are located on the Complex Lands including, without limiting the generality of the foregoing, the facility constructed on lot 98 Clsr Plan 78406 made up of approximately 728,071 square feet, three access roads providing for access to the Complex Lands (on lots 101 and 102, lot 103 and lot 105 Clsr Plan 78406, respectively) and extensive parking on lot 32-20 Clsr 100258, lot 104 Clsr Plan 78406, lot 107 Clsr Plan 80801, lot 121 Clsr Plan 83863, part 1 on Plan 51R-29344 and lot 122 Clsr Plan 83864 but excluding, for greater certainty, the Community Facilities, the Off-Site Infrastructure Facilities (other than off-site parking integrated with the Complex) and the GED Training Centre (if any);” - the definition of “Complex Lands” in Section 1.1 of the Post-2011 Contract was deleted and replaced with the following (additional wording underlined):
“Complex Lands” – all lands described in Schedule 1 hereto as well as any lands leased or licenced by OLG in respect of Future Developments;” and - Schedule 1 to the Post-2011 Contract was deleted and replaced with Schedule 1 to this Agreement (additional wording underlined); and
- the definition of “Employee Parking Lot” in the Post-2011 Contract was revised to mean and refer to, and is hereby confirmed to mean and refer to, collectively:
- notwithstanding Section 1.2 of this Agreement, with respect to Section 3.1 of the Post-2011 Contract, the agreement that replaces the Complex Sublease if the requirements contained in Section 3.1(a) or (b) of the Post-2011 Contract are satisfied in accordance with the terms thereof shall also include the lands that were the subject of the Employee Parking Lot Licence.
- Administration Centre Provisions Acknowledgments, Confirmations and Agreements
The Parties hereby acknowledge, confirm and agree, with respect to Sections 7.2, 7.3 and 7.4 of the Post-2011 Contract (collectively, the “Administration Centre Provisions”), that:- OLG and Rama have satisfied the obligations to enter into good faith discussions for the construction, development and location of the Administration Centre contained in Section 7.2 of the Post-2011 Contract and, pursuant to and as a result of such good faith discussions, the Parties determined and agreed that the Administration Centre shall not be constructed and developed; and
-
accordingly, the requirements and obligations in respect of the Administration Centre are fully completed and at an end and the Administration Centre Provisions are hereby replaced with the following effective as of the date hereof:
“7.2 Administration Building Renovation.
- The Parties acknowledge and confirm that the Operator has retained a third party to conduct and complete a study (the “Administration Building Renovation Study”) to determine the need for, and extent of the proposed estimated cost of, the renovation of the existing Casino administration offices located in the building being leased pursuant to the Administration Building Lease (such building, the “Existing Administration Building”) required in order to ensure that the Existing Administration Building materially complies with building code requirements under Applicable Law and to remedy deteriorating building conditions in respect thereof (collectively, the “Administration Building Renovation Work”). OLG and Rama have reviewed the written report in respect of the Administration Building Renovation Study (the “Report”) and OLG and Rama have discussed the recommendations in the Report. Based on the recommendations in the Report, OLG and Rama retained Yallowega Bélanger Architecture and Crossey Engineering Inc. (collectively, the “Code Consultant”) and Pinchin Environmental Limited to determine the applicable building code standards that apply to the Existing Administration Building and to make written recommendations to OLG and Rama detailing the scope of the work required to be completed to the Existing Administration Building in order to meet the requirements of all applicable building code standards. The Code Consultant prepared a report dated July 19, 2013 (the “Code Consultant Report”) that contains such written recommendations. OLG and Rama have reviewed the Code Consultant Report and agree that the scope of work for Option 1 described in the Code Consultant Report accurately reflects the Administration Building Renovation Work and that the estimated cost of such work set forth in the Code Consultant Report is reasonable, in each case having regard to the recommendations contained in the Report. The Administration Building Renovation Work that is described as Option 1 in the Code Consultant Report and summarized in the extract from the Code Consultant Report attached to this Agreement as Schedule 2 is hereinafter collectively referred to as the “Approved Administration Building Renovation Work” and the aggregate estimated cost of the Approved Administration Building Renovation Work of $4,265,937.50 (as set forth in Schedule 2 attached to this Agreement) plus applicable harmonized sales tax payable under the Excise Tax Act (Canada) (“HST”) is hereinafter collectively referred to as the “Estimated Approved Project Cost”). OLG confirms that to date $51,907 (inclusive of HST) in costs have been incurred in respect of the Report, the architect’s retainer in respect of the Code Consultant, if any, the Code Consultant Report, Code Consultant’s work and other consultants as set out in the attached Schedule 3 (collectively, the “Consultant Costs”). OLG and Rama agree that the Report, the architect’s retainer in respect of the Code Consultant, if any, and the Code Consultant’s work forms part of the Approved Administration Building Renovation Work but is not included in the Estimated Approved Project Cost. OLG and Rama agree that the sum of the Estimated Approved Project Cost and the Consultant Costs shall hereinafter be collectively referred to as the “Estimated Total Approved Project Cost”. OLG agrees to make a financial contribution in respect of the Approved Administration Building Renovation Work in the amount of $2,000,000 plus applicable HST in respect of such amount (the “OLG Contribution”) which shall be applied first towards the payment of the Consultant Costs and second towards the payment of a portion of the remaining Estimated Total Approved Project Cost. OLG and Rama acknowledge and agree that the Estimated Total Approved Project Cost is based on an estimate and that the actual costs, including the Consultant Costs and all interest and penalties, if any, incurred in respect of the Approved Administration Building Renovation Work (the “Actual Total Approved Project Cost”) may be higher or lower than the Estimated Total Approved Project Cost. Rama agrees to make a financial contribution in respect of the Approved Administration Building Renovation Work in an amount equal to the Actual Total Approved Project Cost less the OLG Contribution (the “Rama Contribution”). Payments on account of the Actual Total Approved Project Cost shall be made in accordance with customary construction industry practice to pay for construction costs and as they are incurred following review and certification by a jointly agreed upon third party cost consultant (the “Cost Consultant”), subject to holdbacks required to be maintained for construction liens. The Cost Consultant shall prepare a cash forecast that will set forth the payment requirements on a monthly basis for the purpose of the payments to be made by OLG and Rama pursuant to Section 7.2(e).
- Rama hereby confirms to OLG that Rama has elected to exercise its right of first opportunity pursuant to Article 11 of the Post-2011 Contract to assume the role of developer with respect to the Approved Administration Building Renovation Work. OLG and Rama agree that the responsibilities of Rama as developer shall be as set forth in this Section 7.2. Rama shall fulfill its responsibilities as developer diligently, at all times under the direction and guidance of the Steering Committee. Rama, as owner of the Administration Building, and OLG will consult with respect to significant matters relating to the Approved Administration Building Renovation Work. A working committee (the “Working Committee”) shall be established for purposes of such consultation and to provide direction and guidance with respect to the Approved Administration Building Renovation Work. The Working Committee shall consist of representatives of each of OLG, Rama and the Operator. The Operator representative shall be non-voting. For the purposes of all decisions to be made by the Working Committee, any decision that involves a change in the scope of the Approved Administration Building Renovation Work having a cost of less than $100,000, shall be made by the Working Committee and each of OLG and Rama shall be entitled to one vote. In the event a decision cannot be reached by the Working Committee, the matter shall be brought to the Steering Committee for resolution. The Working Committee will hold monthly meetings or more frequently if required with attendance in-person, via telephone or other electronic means. Minutes of such meetings will be taken by RFN and distributed to attendees as soon as is reasonably possible after each meeting.
- A steering committee (the “Steering Committee”) shall be established and through quarterly meetings (or more frequently if required) shall make all decisions that involve a change in the scope of the Approved Administration Building Renovation Work having a cost of $100,000 or greater and shall oversee the Approved Administration Building Renovation Work. The Steering Committee shall consist of representatives of each of OLG and Rama. For purposes of all decisions to be made by the Steering Committee, each of OLG and Rama shall be entitled to one vote. All decisions to be made by the Steering Committee require the approval of both members of the Steering Committee.

- Rama shall ensure that all procurement of specialized expertise (including any request for proposals) and all procurement, including construction material and labour in respect of the Approved Administration Building Renovation Work shall be conducted in accordance with the procurement principles, policies and procedures set out in Schedule 4 attached hereto, in order to maintain consistency with the Management Board of Cabinet Procurement Directive (April 2011) (as same may be amended from time to time) as it applies to OLG. The parties agree that Schedule 4 may be amended, modified, replaced or supplemented from time to time, upon the prior written approval of all of the parties hereto. Written approval shall not be unreasonably withheld by any party.
- Rama agrees to consult with OLG in respect of the preparation of any request for proposals (or other procurement documents) to be issued in connection with any procurement conducted pursuant to this Section 7.2(d) in order to be compliant with the parameters set out in Section 7.2(d)(A).
- Each of OLG and Rama shall have the right to appoint one member, and confirm that the Operator shall also be permitted to appoint one member, of the evaluation committee (the “Evaluation Committee”) in respect of any procurement conducted in connection with the Approved Administration Building Renovation Work.
- The bank account (the “Bank Account”) to be used in connection with the completion of the Approved Administration Building Renovation Work shall be maintained in the name of Rama. Each of OLG (or the Operator, at the direction and on behalf of OLG) and Rama shall make deposits into the Bank Account in accordance with the terms and conditions of this Agreement. OLG shall make an initial deposit in the amount of $250,000 on account of the OLG Contribution into the Bank Account within 10 Business Days following the execution and delivery of this Agreement. The remainder of the OLG Contribution (being $1,698,093) shall be deposited by OLG into the Bank Account based on Rama’s and the Cost Consultant’s quarterly cash flow forecast five Business Days prior to the beginning of each quarter. Rama shall make an initial deposit in the Bank Account of a portion of the Rama Contribution in the amount of $250,000, within 10 Business Days following the execution and delivery of this Agreement. Future payments by Rama on account of the Rama Contribution shall match OLG’s quarterly cash deposits and timing of payments by OLG on account of the remainder of the OLG Contribution. Rama shall subsequently pay the remainder of costs to complete the Approved Administration Building Renovation Work until completion. Notwithstanding the foregoing, if the matching of payments by Rama would result in OLG not contributing the full amount of the OLG Contribution, Rama shall be permitted to reduce its quarterly cash deposits until such time as OLG has contributed the full amount of the OLG Contribution. All payments, withdrawals and other disbursements from the Bank Account shall require the approvals of one authorized representative of OLG and one authorized representative of Rama. Schedule 5 attached hereto sets out the proposed payment schedule for the payment of the cost of the Approved Administration Building Renovation Work, including the dates on which approvals for payment are required. OLG and Rama acknowledge and agree that the proposed payment schedule contained in Schedule 5 may be amended from time to time upon the prior written approval of the Steering Committee. Any interest proceeds accumulated in the Bank Account shall be applied towards the Approved Administration Building Renovation Work funding requirements. Following completion of the Approved Administration Building Renovation Work and payment of the Actual Total Approved Project Cost, Rama shall be entitled to any surplus funds attributable to the Rama Contribution then remaining in the Bank Account.
- Rama shall promptly submit all invoices, and associated back-up relating to the Approved Administration Building Renovation Work (once approved and validated by the Cost Consultant) to the Working Committee for approval prior to certification of any payment. If Rama or OLG disagrees with and intends to dispute an invoice, such party shall promptly submit to the Working Committee such disputed invoice and written reasons for the dispute. The Working Committee will address each disputed invoice on a case-by-case basis and, within 10 Business Days of receipt of the disputed invoice and written reasons, determine the manner in which payment of the disputed invoice will be addressed. The Working Committee shall promptly review submitted invoices upon receipt and shall target approval of the invoices to Rama for payment on or before the dates on which approvals for payment are required in accordance with the attached Schedule 5, as the same may be amended from time to time (the “Targeted Payment Approval Dates”). In the event a decision in respect of such disputed invoice cannot be reached by the Working Committee on or before the Targeted Payment Approval Dates, the matter shall be brought to the Steering Committee for resolution within 10 Business Days following the date on which the matter is brought to the Steering Committee. Rama shall pay the costs of the Approved Administration Building Renovation Work out of the Bank Account following approval of the invoices by the Working Committee or the Steering Committee, as applicable, which approval shall not be unreasonably withheld.
- Rama shall maintain detailed records of the costs of the Approved Administration Building Renovation Work and shall provide same to OLG upon request. If OLG makes such request, there will be no delay to progress billings or invoices.
- Rama shall use best efforts when entering into contracts in connection with its procurement of the specialized expertise and construction material and labour in respect of the Approved Administration Building Renovation Work to ensure that all costs of the Approved Administration Building Renovation Work are incurred in a manner that is most tax-efficient.
- Rama and 455457 covenant and agree that they will arrange for and, upon request, deliver to OLG, all consents and/or approvals that may be required under the Administration Building Lease in connection with the Administration Building Renovation Work, and shall take all necessary actions and use all reasonable commercial efforts to obtain and, upon request, deliver to OLG any and all other permits, consents, approvals and/or legal rights which may be necessary or required in connection with the Administration Building Renovation Work (including, without limitation, those consents and/or approvals which may be required to be obtained from HMQ under the Head Lease (as defined in the Administration Building Lease)).
- The Parties acknowledge and agree that:
- OLG has agreed to make the OLG Contribution notwithstanding that the Administration Building Renovation Work (or a portion thereof) may be capital in nature and, as such, are 455457’s responsibility under the Administration Building Lease; and
- neither the OLG Contribution nor any Administration Building Renovation Work conducted by or on behalf of OLG or otherwise shall create or impose any obligation upon OLG to make any additional contribution(s) towards, or have any additional responsibilities in respect of, the Existing Administration Building other than as may be expressly set out in the Administration Building Lease.
7.3 Extension of Administration Building Lease.
- OLG and Rama acknowledge and agree that by notice dated January 31, 2014, OLG exercised the extension option contained in Section 3 of the Administration Building Lease to extend the Administration Building Lease (upon the same rent, rent provisions and other terms and conditions as are applicable at the time under the Administration Building Lease) so that it expires on July 31, 2019.
- With respect to the period commencing on August 1, 2019 and ending at the end of the Applicable Period, OLG and Rama agree to enter into good faith discussions on or prior to February 1, 2019 for the purpose of entering into a new agreement to extend and continue the Administration Building Lease (upon the same rent, rent provisions and other terms and conditions as are applicable at the time under the Administration Building Lease). The effectiveness and enforceability of such further extension agreement:
- shall be subject to the termination of the Applicable Period pursuant to Section 3.2 of the Post-2011 Contract; and
-
- as against 455457 may be dependent on certain approvals being obtained from HMQ as required by the Indian Act (Canada) and/or from Chief and Council of Rama; and
- as against OLG may be dependent on the various approvals that must be obtained by OLG from the Province,
- and each of OLG and 455457 shall use its best efforts to obtain such approvals, if possible, prior to, or, if not, as expeditiously as possible after, the execution and delivery of such further extension agreement by it, and to inform the other Parties in writing as soon as possible after such approvals have been obtained.”
- Section 9.1 Acknowledgments, Confirmations and Agreements
The Parties hereby acknowledge, confirm and agree, with respect to Section 9.1 of the Post-2011 Contract that:- Rama and OLG have entered into good faith discussions for purposes of entering into an agreement relating to the supply of water to, and the treatment of water for, the Complex (including wastewater treatment equipment and facilities for the Complex), as required under Section 9.1 of the Post-2011 Contract; and
- as a result of such good faith discussions, Rama and OLG are currently in the process of negotiating and settling an agreement currently entitled “Casino Rama Water and Wastewater Services Agreement” for execution and delivery by the relevant Parties (and, if necessary, the Operator) and, if and when executed, such agreement will become a Material Agreement for all purposes of the Post-2011 Contract.
- Article 10 Acknowledgments, Confirmations and Agreements
The Parties hereby acknowledge, confirm and agree, with respect to Article 10 of the Post-2011 Contract, that:- within 90 Business Days of the date of the Post-2011 Contract they embarked upon planning for the GED Training Centre;
- on May 25, 2010, OLG made the lump sum payment required pursuant to Section 10.5(b) of the Post-2011 Contract in order to retain expertise to assist in the development of the “Business Plan and Development Concept” for the GED Training Centre; and
- as a result of such planning and upon the review of the “Business Plan and Development Concept” being completed, OLG and Rama determined that the business case presented in such “Business Plan and Development Concept” was not financially viable, and, as a result, not accepted by OLG (as is required under Section 10.5(a) of the Post-2011 Contract),
and, accordingly, notwithstanding anything to the contrary contained in the Post-2011 Contract or elsewhere, that the obligations and requirements contained in Article 10 of the Post-2011 Contract (including, without limitation, those obligations upon OLG under Section 10.5(a) of the Post-2011 Contract to contribute $2,000,000 towards the capital costs of the GED Training Centre) are hereby deemed to be at an end and of no further force or effect and, as such, no further discussions, arrangements or actions shall be required or necessary under or as a result thereof.
- Article 18 Acknowledgments, Confirmations and Agreements
The Parties hereby acknowledge, confirm and agree that pursuant to Section 13 of the Employee Parking Lot Licence, OLG is required to purchase and maintain throughout the Early Occupancy Period and the Term (as such terms are defined in the Employee Parking Lot Licence) that insurance with respect to the Licenced Area (as defined in the Employee Parking Lot Licence) which is required by the applicable terms contained in Schedule 3 to the Post-2011 Contract, and CRI shall be responsible for all obligations of the “Permittee” with respect to insurance under the Employee Parking Lot Permit.
- Section 2.3 Acknowledgments, Confirmations and Amendments

Article 2
- Interpretation Not Affected by Heading, etc.
Grammatical variations of any terms defined herein have similar meanings. Words importing the singular number will include the plural and vice versa. Words importing the masculine gender will include the feminine and neuter genders. The division of this Agreement into separate Articles and Sections and the insertion of headings are for convenience of reference only and will not affect the construction or interpretation of this Agreement.
- Enforceability
If any provision of this Agreement is determined to be invalid, illegal or unforceable as written, such provision shall be enforced to the maximum extent permitted by Applicable Law.
- Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the Province of Ontario and the laws of Canada and Rama First Nation applicable therein. In the event of a conflict of laws, the laws of the Province of Ontario shall prevail.
- Effective Date
This Agreement shall become effective as of the date hereof.
- Full Force and Effect
Each of the Parties hereby confirms that the Post-2011 Contract shall be varied and amended only so as to comply with the intentions of this Agreement; provided, however, that in all other respects the Post-2011 Contract shall otherwise remain in full force and effect and is hereby ratified and confirmed.
- Third Parties
None of the rights or obligations hereunder of any Party shall enure to the benefit of or be enforceable by or against any party other than the Parties to this Agreement and their respective successors and permitted assigns.
- Counterparts and Facsimile
This Agreement may be executed in counterparts, each of which shall constitute an original and all of which taken together shall constitute one and the same instrument. This Agreement may be delivered by any Party by facsimile or similar means of electronic communication, and if so delivered, shall be legally binding on such Party.

Policies and Procedures:
- A competitive bidding process, involving a minimum of 3 bids, is required for any procurement of goods or services exceeding $25,000. Allowable exceptions include:
- Where an unforeseen situation of urgency exists. (Note: this does not apply where OLG or Rama has failed to allow sufficient time to conduct a competitive procurement process.)
- Where only one vendor is able to meet the requirements due to:
- Statutory monopoly
- Existing agreements or contracts
- Need to maintain warranty or guarantee
- Specialized expertise not provided by more than one vendor
- Interference with OLG’s ability to maintain security
- The Steering Committee may exclude any member of the Evaluation Committee from evaluating any proponent’s proposal if the Evaluation Committee member is not at arm’s length with one of the proponents.
- All bids are to be submitted in sealed envelopes which are date and time stamped by Rama upon receipt. No faxed or emailed bids are to be accepted. Late bids submitted past the date and time deadline set out in the RFP shall be disqualified.
- No bid is to be opened unless representatives from both Rama and OLG are present.
- Reasons for selecting a bid other than the lowest-price bid shall be fully documented by Rama and included in the Summary and Recommendation form. In these circumstances, the rationale for selecting the successful proponent shall be identified for Steering Committee prompt review and approval.
- Representatives from each of Rama and OLG are to attend all interviews with proponents required prior to award of final contract.
- OLG and Rama shall review any pre-qualification requirements and pre-qualified proponent lists and may provide comments.
- All procurements are subject to approvals as set out in Section 7.2(d) of the Post-2011 Contract, as amended by the Agreement to which this Schedule is attached.
