National Instrument 41-101 General Prospectus Requirements sets out general prospectus requirements, including prospectus disclosure requirements for exchange-traded mutual funds. National Instrument 81-101 Mutual Fund Prospectus Disclosure sets out the prospectus disclosure obligations for mutual funds. National Instrument 81-102 Investment Funds sets out the rules by which mutual funds must operate. National Instrument 81-106 Investment Fund Continuous Disclosure sets out the continuous disclosure requirements for investment funds. National Instrument 81-107 Independent Review Committee for Investment Funds sets out requirements for investment funds to have an independent committee to review conflict of interest issues. National Instrument 13-101 System for Electronic Document Analysis and Retrieval (SEDAR) sets out electronic filing requirements. Multilateral Instrument 13-102 System Fees for SEDAR and NRD sets out fee information in respect of SEDAR and the National Registration Database. National Instrument 31-103 Registration Requirements, Exemptions and Ongoing Registrant Obligations sets out registration requirements, exemptions and ongoing registrant obligations. National Instrument 45-106 Prospectus Exemptions sets out exemptions from the prospectus requirement set out in securities legislation. OSC Rule 13-502 Fees sets out a fee regime.
The amendments and local amendment (1) consolidate the simplified prospectus and the annual information form; (2) mandate that each reporting issuer investment fund have a designated website; (3) codify exemptive relief granted in respect of notice-and-access applications; (4) minimize filings of personal information forms; (5) codify exemptive relief granted in respect of conflicts applications; (6) broaden pre-approval criteria for investment fund mergers; (7) repeal regulatory approval requirements for a change of manager, a change of control of a manager, and a change of custodian that occurs in connection with a change of manager; and (8) codify exemptive relief granted in respect of the Fund Facts delivery requirement and corresponding exemptions from the ETF Facts delivery requirement. The amendments in respect of initiatives (3)-(8) have an in-force date of January 5, 2022; the amendments and local amendment in respect of initiatives (1) and (2) have an in-force date of January 6, 2022.
