On the recommendation of the undersigned, the Lieutenant Governor of Ontario, by and with the advice and concurrence of the Executive Council of Ontario, orders that:

Pursuant to subsection 9(4) of Ontario Regulation 43/02 made under the Development Corporations Act, R.S.O. 1990, Chapter D.10, effective for such period as Karen McKibbin is appointed as the chief executive officer of eHealth Ontario to serve at the pleasure of the Lieutenant Governor in Council, Karen McKibbin shall receive the following salary and other remuneration and benefits:

  1. Annual Salary.  She shall be paid a fixed salary of $225,000 per annum, less any required deductions or remittances.
  2. Vacation. She shall be eligible to take five weeks paid vacation per year, prorated in her first and last years of employment, based on time actually worked for eHealth Ontario in each partial year.
  3. Performance Pay. She shall not be eligible for any performance bonuses.
  4. Pension Plan. She shall not participate in the registered pension plan generally made available to eHealth Ontario’s employees.  In lieu of participation in eHealth Ontario’s pension plan, in addition to her annual salary, eHealth Ontario shall pay her a net amount equal to the employer’s portion of the contributions to the pension plan(s) applicable to Karen McKibbin as an Executive Lead in the Ontario Public Service, based on Karen McKibbin’s salary in effect as an Executive Lead in the Ontario Public Service immediately prior to her appointment as chief executive officer of eHealth Ontario.
  5. Benefits. She shall not participate in the eHealth Ontario benefit plan generally made available to eHealth Ontario’s employees. In lieu of participation in eHealth Ontario’s benefit plan, eHealth Ontario shall pay an amount equal to the employer portion of the contributions to the benefit plan(s) in which Karen McKibbin participated as an Executive Lead in the Ontario Public Service immediately prior to her appointment as chief executive officer of eHealth Ontario, based on Karen McKibbin’s salary in effect as an Executive Lead in the Ontario Public Service immediately prior to her appointment as chief executive officer of eHealth Ontario.  Such payments shall be made by eHealth Ontario directly to the applicable benefit plan(s).
  6. Expenses. Expenses she incurs in the execution of her duties and responsibilities will be reimbursed by eHealth Ontario upon presentation of appropriate receipts in accordance with the Travel, Meal and Hospitality Expenses Directive.
  7. Termination.  Her employment may be terminated by eHealth Ontario as follows:
    1. for cause, at any time, in which event she is entitled to her salary and accrued vacation pay earned up to the date of termination of employment; however, she shall have no other entitlement to notice or pay in lieu of notice or severance pay or any other payments arising from said termination; or
    2. without cause or upon non-renewal of Order-in-Council, in which event she shall be entitled to the following from eHealth Ontario: her salary and accrued vacation pay earned up to the date of termination, notice or pay in lieu of notice, and severance pay, if any, as required under the Employment Standards Act, 2000.
