Minister’s Order

Whereas subsection 8 (5) of the Safety and Consumer Statutes Administration Act, 1996 provides that the Minister may, by order, provide that no more than a fixed percentage of members of the board of directors (the “Board”) of an administrative authority shall be drawn from among the persons or classes of persons specified in the order;

And whereas the Ontario Motor Vehicle Industry Council (“OMVIC”) is designated as the administrative authority for the purpose of administering provisions of the Motor Vehicle Dealers Act, 2002 and the regulations made under that Act;

And whereas OMVIC is required to exercise its powers and duties to protect, enhance and improve consumer protection and comply with the principles of maintaining a fair, safe and informed marketplace and promoting the protection of the public interest;

And whereas an order limiting the percentage of members of the Board that may be drawn from certain persons or classes of persons facilitates a Board that effectively oversees motor vehicle dealers and salespersons and protects consumers by being composed of members with various perspectives and skills;

Now therefore pursuant to subsection 8 (5) of the Safety and Consumer Statutes Administration Act, 1996, I hereby make the following Order:

  1. In this order,
    • “motor vehicle dealer” and “salesperson” have the same meaning as in the Motor Vehicle Dealers Act, 2002.
    • “Board” means the board of directors of OMVIC.
  2. No more than thirty-four per cent of members of the Board shall be drawn from among any of the following classes of persons:
    1. motor vehicle dealers.
    2. salespersons.
    3. individuals who are directors, officers, employees or agents of registered motor vehicle dealers.
    4. individuals who are directors, officers, employees, members or agents of an industry association representing the interests of motor vehicle dealers or salespersons.
    5. individuals who within the one-year period before becoming a director of the board of the administrative authority met the description in any of clauses a through d.
  3. OMVIC shall take the necessary steps to implement this Order by no later than July 1, 2023.
  4. This Order comes into effect on the day it is made.
